Welcome to SportsAuctionPro. These Terms of Service ("Terms") govern your access to and use of our website, applications, and services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service. Please read them carefully.

Description of Services

SportsAuctionPro operates as a Software-as-a-Service (SaaS) platform. We provide software tools that enable sports tournament organisers to manage tournaments, teams, players, and auction workflows in a digital environment. Our services are strictly limited to providing software infrastructure.

Our software tools include:

• Tournament Management: Create and manage cricket tournaments, leagues, and auction events.
• Live Auctions: Real-time bidding system for player auctions with live updates.
• Team Management: Manage team rosters, budgets, and player assignments.
• Player Database: Maintain comprehensive player profiles and statistics.
• Analytics: View auction insights, team composition, and budget analysis.
• Public Displays: Customizable public-facing auction displays and scoreboards.

Platform Role & Scope

SportsAuctionPro is a Software-as-a-Service (SaaS) platform only. Our revenue model is limited strictly to platform access and usage fees, including charges for tournament creation, feature access, and software usage. We do not derive revenue from, nor are we involved in, any auction-related financial activity.

What We Do NOT Do

• Pool, collect, hold, transfer, or distribute funds related to player auctions or tournaments.
• Facilitate, process, or control payments between organisers, teams, or players.
• Handle auction bids, player fees, prize money, or entry fees.
• Act as a broker, intermediary, escrow, wallet, marketplace, or payment facilitator in any capacity.

Financial Settlements

Any financial settlements between teams, players, organisers, or any other parties related to a tournament are managed independently by organisers outside the platform. SportsAuctionPro has no involvement in, control over, or liability for such transactions.

Payment Gateway Usage

All payments processed through the payment gateway on SportsAuctionPro are solely towards platform usage or access fees payable to SportsAuctionPro. These include subscription fees, tournament creation charges, and feature access fees.

Our Role

Our role is strictly confined to providing software infrastructure. SportsAuctionPro acts solely as a technology platform and does not act as a broker, agent, intermediary, escrow service, or guarantor between players, teams, or organisers.

Player & Team Registration

By registering a player or team on SportsAuctionPro, you confirm and agree to the following:

• Data Collection & Consent: You confirm that you are authorised to submit all personal and sporting information of players and teams and that the players have provided consent for the collection, use, and storage of their data for participation and communication purposes.
• Use of Data: All player and team data is used solely for tournament-related activities on the platform. SportsAuctionPro does not use personal data for promotional purposes without explicit consent.
• Accuracy of Information: You are responsible for ensuring that all submitted information is accurate, complete, and up to date.
• Global Player Registry: Registered player profiles may be stored in a global player registry, allowing authorised organisers to retrieve player details for future tournaments using verified identifiers.
• Team Registration & Management: By registering a team, you confirm that you are authorised to manage the team and that team and player assignments comply with tournament rules.
• Platform Role & Liability: SportsAuctionPro acts solely as a technology platform and does not act as a broker, agent, or guarantor. Reasonable security measures are implemented; however, the platform is not liable for unauthorised access beyond its reasonable control.
• Misuse & Enforcement: Any misuse of the platform, including fraudulent registrations, impersonation, or manipulation of player or team data, may result in suspension or termination of access without prior notice.

User Accounts

Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 18 years old to create an account.
• One person or organization may only have one active account.

Account Security

You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach. We will not be liable for any loss or damage arising from your failure to protect your account credentials.

Subscriptions & Payment

All payments to SportsAuctionPro are solely for platform access and usage fees. This includes charges for tournament creation, feature access, and software usage only. We do not collect any fees related to player auctions, team transactions, prize money, or any other tournament-related financial activity.

Access to certain features of the Service requires a paid subscription. By subscribing, you agree to the following terms:

• Billing: Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms.
• Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date. You can cancel at any time from your account settings.
• Price Changes: We reserve the right to change subscription prices. Any changes will be communicated in advance and apply at the next renewal period.
• Refunds: Refunds may be provided at our sole discretion. Contact support within 14 days of purchase if you believe you are eligible for a refund.

Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms:

• Use the Service in compliance with all applicable laws and regulations.
• Respect the rights and privacy of other users.
• Provide accurate information about players and tournaments.
• Maintain appropriate conduct during live auction events.
• Report any bugs, security vulnerabilities, or misuse you discover.

Prohibited Activities

You may NOT use the Service to:

• Engage in any illegal activities or promote illegal content.
• Harass, abuse, or harm other users.
• Impersonate any person or entity.
• Interfere with or disrupt the Service or servers.
• Attempt to gain unauthorized access to any part of the Service.
• Use automated systems or bots to access the Service.
• Manipulate auction outcomes or engage in collusion.
• Collect user data without consent.

Intellectual Property

• Our Content: The Service and its original content, features, and functionality are owned by SportsAuctionPro and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
• Your Content: You retain ownership of any content you upload or create. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content as necessary to provide the Service.
• Feedback: Any feedback, suggestions, or ideas you provide about the Service may be used by us without any obligation to compensate you.

Reverse Engineering

You expressly agree that you shall NOT, and shall not permit any third party to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying ideas of any part of the Service.
• Modify, translate, adapt, or create derivative works based on the Service or any part thereof.
• Copy, reproduce, distribute, republish, download, display, post, or transmit any part of the Service except as expressly permitted.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Service.
• Use any robot, spider, scraper, or other automated means to access the Service for any purpose.
• Attempt to probe, scan, or test the vulnerability of the Service or breach any security measures.
• Access or use the Service to build a competitive product or service, or copy any features, functions, or graphics.

Enforcement: Any unauthorized attempt to reverse engineer, access source code, or circumvent technological protection measures may result in immediate termination of your account and may subject you to civil and criminal liability under applicable laws.

Disclaimers & Limitations

Disclaimer of Warranties: The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free.

Limitation of Liability: To the maximum extent permitted by law, SportsAuctionPro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.

Indemnification: You agree to indemnify and hold harmless SportsAuctionPro and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Service will cease immediately.
• We may delete your account and associated data.
• Provisions that should survive termination will remain in effect.

You may also terminate your account at any time by contacting us or through your account settings.

Governing Law & Jurisdiction

Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Kolkata, West Bengal, India.

Dispute Resolution: Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation. If a dispute cannot be resolved within 30 days, either party may pursue formal legal remedies before the courts in Kolkata, West Bengal, India.

Waiver of Class Actions: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.
